Effective date: October 17, 2026
These Terms of Service ("Terms") are an agreement between you and IO Intelligent (Shenzhen) Co., Ltd. (legal name in Chinese: 艾欧智能(深圳)有限公司), which operates EmbodiFlow as part of IO-AI TECH ("we", "us"). The English name is a translation of the Chinese legal name. If you use EmbodiFlow on behalf of a company or team, you confirm that you can bind it, and "you" includes that team.
By creating an account, signing in or using EmbodiFlow, you agree to these Terms. If you do not agree, do not use the service. If you and we have signed a separate agreement for your team, such as an order form, a customer data processing agreement (DPA) or a private deployment contract, that agreement prevails over these Terms where they conflict.
Our Privacy Policy explains how we handle personal information. It is not part of the contract, but you should read it.
EmbodiFlow is a multi-tenant data platform for embodied AI. Teams upload recordings that already exist, such as robot teleoperation, human first-person and UMI recordings. Workflows turn them into episodes and dataset versions, which you can export, train on, evaluate and try. We offer hosted service and, under a separate contract, private deployment on your own Kubernetes servers.
EmbodiFlow starts after data has been recorded. It is not a capture app and does not provide a device registry, device heartbeat, remote device management or firmware updates. It does not collect data from robots or cameras by itself. Large recording files go directly between your tools and object storage and are not proxied through our API.
Features described in the product, documentation or marketing may not all be available to every team, and some are planned rather than available. Only what the product actually offers to your team is part of the service.
You must provide accurate information and keep your credentials secret. You are responsible for activity under your account and for any personal access tokens or API keys you create. Tell us promptly at io@io-ai.tech if you suspect unauthorized use.
Data and resources belong to a team. A team has members with roles, such as Owner and Admin, and project permissions. The people holding the Owner role decide who joins the team and what they may do. Team administrators can see membership and activity records for the team, and may close or change your access. If you leave a team, content you contributed may stay in the team.
You must be an adult with legal capacity to use EmbodiFlow. The service is not directed to children.
Ownership. You keep all rights in the recordings, derived data, dataset versions, labels, models and other content you upload or create with the service ("Customer Data"). We do not claim ownership of Customer Data.
License to process. You give us a limited, non-exclusive license to host, copy, transmit, process and display Customer Data only as needed to provide the service to you, to follow your instructions and settings, to keep the service secure and working, and to meet legal obligations. This includes running the workflows, algorithms and training you choose. We do not use Customer Data to train our own general-purpose models, to build advertising profiles or to sell it.
Your responsibility. You are responsible for Customer Data and for having every right, notice, consent and authorization needed to upload it and to have it processed, exported and delivered as you instruct.
Isolation and history. Teams are isolated from each other. Dataset versions and processing results are immutable, and audit and usage records are append-only facts. Deletion and correction follow section 12 and the Privacy Policy, not a silent rewrite of history.
Recordings may show or record people, including their faces, voices, movements, workplaces and, in some cases, health-related or children's information. If you upload such a recording, you confirm and agree that:
Until the applicable consent and anonymization evidence is in place, raw access to a recording is limited to the uploader, Owners and current project members who hold both algorithm publishing and workflow management permissions. Other reads, every export and every delivery must meet the recording's privacy requirements. A login checkbox from a platform user is never consent on behalf of a recorded person. We may block, hold or remove a recording, export or delivery that does not meet these requirements.
You must not, and must not let others:
Algorithms and containers that you select, publish or upload run under your responsibility. We may suspend content, a workflow, a run or an account that breaks this section or puts the service or others at risk. Where practical we tell you why and how to fix it.
Billing is not active yet. Usage is tracked and shown in the product, but we do not charge for the hosted service at this time. We will announce prices, plans and any usage limits before they apply to your team, and charges will apply only after we do, under the terms we announce or a separate order form. Private deployment is a paid offering under its own contract. Taxes, where they apply, will be shown separately.
EmbodiFlow is in beta and is offered to trusted customers. Features can change, be limited or be withdrawn, and the service can have errors and interruptions. We do not promise any specific uptime, performance or availability unless a separate written agreement says so. Keep your own copies of Customer Data that you cannot afford to lose, and check results before relying on them. We may run planned maintenance and will try to give notice of significant changes.
Outputs of quality checks, automated annotation, models and other AI features are generated by software and can be wrong. You are responsible for how you use them, including for any robot, safety-related or commercial decision.
EmbodiFlow includes open-source and third-party software. Those components are governed by their own licenses, which apply to them instead of these Terms. Algorithms, models, weights and datasets from third parties that you choose to use are subject to their own licenses, and you are responsible for complying with them. License information is available on request at io@io-ai.tech.
We and our licensors own the service, including its software, interfaces, documentation, trademarks and names. These Terms give you a limited, non-exclusive, non-transferable right to use the service while they apply. They do not transfer any of our rights to you. The EmbodiFlow and IO-AI names and logos may not be used without our written permission.
If you give us feedback or suggestions, we may use them without obligation to you. This does not give us any right in Customer Data.
Each party will protect the other's non-public information that is marked or reasonably understood as confidential, use it only for these Terms, and disclose it only where needed, to its staff and providers bound by confidentiality, or where the law requires. This does not apply to information that is public, independently known or developed, or lawfully received from someone else.
We use technical and organizational measures described in the Privacy Policy and any security schedule that applies to your deployment. No system is free of vulnerabilities. To report a security issue, email platform@io-ai.tech.
These Terms apply from the day you first use the service until your account or team is closed.
You can stop using the service and close your account or team at any time. We may suspend or end your access if you materially breach these Terms, if the law requires it, if you do not pay fees that have become due, or if continued access puts the service or others at risk. We may end the free beta service with reasonable notice.
When a recording or its outputs are deleted, they are hidden from normal access and kept for 3 calendar months, during which an authorized administrator can restore them. After closure of an account or team, account information and Customer Data are generally kept for 3 calendar months and then handled under the contract, team relationships and legal duties. Permanent deletion follows after that period, and you can ask for earlier permanent deletion at io@io-ai.tech. Backups, object versions and caches are cleared by expiry on the schedule described in your deployment documentation. We keep records that the law or legitimate security and accounting needs require, for as long as they require. Before closure you can export the data your role allows.
Sections that by their nature should continue, including sections 4, 9 to 11 and 13 to 16, continue after termination.
To the extent the law allows, EmbodiFlow is provided "as is" and "as available". We do not make any warranty of merchantability, fitness for a particular purpose, non-infringement, uninterrupted or error-free operation, or that outputs are accurate or suitable for your purpose. We make no statement that EmbodiFlow holds any certification or meets any regulatory standard unless we say so in writing. Some places do not allow some of these exclusions, so some may not apply to you.
To the extent the law allows, neither party is liable to the other for indirect, incidental, special, consequential or punitive loss, or for lost profits, revenue, data or goodwill, however caused. Our total liability arising from or relating to the service is limited to the fees you paid us for the service in the 12 months before the event that gave rise to the claim, or CNY 1,000 if you paid nothing.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, including liability for fraud, intentional misconduct, gross negligence, or death or personal injury caused by negligence. You are responsible for claims brought by people recorded in your recordings that arise from your breach of section 5, and you will cover the resulting losses to the extent the law allows.
These Terms are governed by the laws of the People's Republic of China, without regard to conflict-of-law rules. The parties will first try to settle a dispute through good-faith negotiation. If that fails, the dispute goes to a competent people's court in Shenzhen, Guangdong, where we have our place of business. Mandatory consumer or data protection rights that apply to you where you live are not affected.
We may update these Terms, for example as the service, the law or our fees change. We will tell you about material changes through a sign-in prompt, an in-product notice or by email, and we will update the effective date above. Changes apply from the date stated and not to disputes that arose earlier. If you keep using the service after a change takes effect, you accept the updated Terms. If you do not agree, stop using the service and close your account.
These Terms, with any separate agreement, are the whole agreement for the service. If a provision cannot be enforced, the rest stays in effect. A failure to enforce a right is not a waiver. You may not assign these Terms without our written consent; we may assign them to an affiliate or a successor to the business. Notices to you may be given in the product or by email to the address on your account. If these Terms are available in several languages and the versions differ, the version in the language you use is for convenience and the Chinese version prevails.
